You retain full ownership of all content you create and publish through Social Manager Ads, including text, images, and other media ("Your Content"). By using our Service to publish content, you grant us a limited, non-exclusive, worldwide license to use, reproduce, and transmit Your Content solely for the purpose of providing the Service (i.e., publishing to Facebook/Instagram and creating advertising campaigns on your behalf).
All intellectual property rights in the Service itself, including software, design, logos, and documentation, are owned by Social Manager Ads. These Terms do not grant you any rights to our intellectual property except as necessary to use the Service.
Social Manager Ads integrates with Meta Platforms (Facebook and Instagram) through Meta's official APIs. By using features that interact with Meta's platforms, you also agree to comply with:
Certain portions of the Service may include or display content and services from third parties, including Meta Platforms, Inc. ("Third-Party Content"). Third-Party Content is the responsibility of the entity that makes it available. We are not responsible for reviewing or evaluating the accuracy, completeness, timeliness, validity, legality, quality, or any other aspect of Third-Party Content.

The Service offers various subscription plans with different features and advertising budgets. Plan details, pricing, and features are described on our website and may be updated from time to time.
Subscription fees are billed on a recurring basis (monthly) through Stripe. By subscribing, you authorize us to charge your payment method on file for the applicable subscription fees.
We may offer a free trial period. During the trial, you can use limited features of the Service. After the trial expires, you must subscribe to a paid plan to continue using the Service.
You can cancel your subscription at any time from your account settings. Upon cancellation, your access will continue until the end of the current billing period. Advertising campaigns will be paused upon cancellation.
Subscription fees are generally non-refundable. Advertising budgets already spent on Meta's platform cannot be refunded. For exceptional circumstances, please contact our support team.
We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice, including if:
Upon termination, your right to use the Service immediately ceases. Active advertising campaigns will be paused. You may request deletion of your data in accordance with our Privacy Policy.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Our total aggregate liability for all claims arising from or related to the Service shall not exceed the amount you have paid us in the twelve (12) months immediately preceding the event giving rise to the claim.
You agree to indemnify, defend, and hold harmless Social Manager Ads, its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
These Terms shall be governed by and construed in accordance with the laws of the Italian Republic, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Italy.
For EU consumers: Nothing in these Terms affects your rights under mandatory consumer protection laws in your country of residence.
We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by email or through a prominent notice within the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining Terms shall remain in full force and effect.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Social Manager Ads regarding the use of the Service and supersede any prior agreements.
